
The District Administrative Bylaws defined below.Ĭharter A document issued by World Headquarters and signed by the International President and the Chief Executive Officer that commences membership in Toastmasters International of a Member Club.Ĭhief Executive Officer The Chief Executive Officer of Toastmasters International, under the supervision of the Executive Committee and the control of the Board of Directors and is appointed by the Board of Directors. The Bylaws of Toastmasters International, a California nonprofit public benefit corporation or The International President, the International President-Elect, the First and Second Vice Presidents, the Immediate Past International President, and the International Directors are all considered Board Members. See the Bylaws of Toastmasters International, Article V, Section 1.īoard Member A voting member of the Board of Directors of Toastmasters International. The Chief Executive Officer of Toastmasters International normally attends and participates in meetings of the Board of Directors but does not have voting privileges. The Bylaws specify that the Board Members are the International President, the International President-Elect, the First and Second Vice Presidents, the Immediate Past International President, and one (1) International Director from each geographic region. The District must organize Areas together into Divisions.Īrticles of Incorporation The Amended and Restated Articles of Incorporation of Toastmasters International, as filed with the California Secretary of State.īoard or Board of Directors The Board of Directors of Toastmasters International, a California nonprofit public benefit corporation, consisting of not less than 17 and not more than 25 voting Board Members, with the exact number set by the Board of Directors. Active members attend club meetings, have voting privileges, may be elected as an officer of the club, shall be counted towards a quorum of the club membership, may participate in speech contests if they fulfill the other eligibility criteria, and may have a place on the regular speaker's program.Īnnual Business Meeting The regular yearly meeting of the voting members of Toastmasters International, held during the International Convention, for the election of Board Members and the conduct of other corporate business. Active Member An individual who is a paid member in good standing with Toastmasters International.
